1 Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of Noqta — the software, websites, dashboards, briefings and related services we provide (together, the "Service"). By creating an account or using the Service, you accept these Terms on your own behalf and on behalf of the business you represent, and you confirm that you are authorised to bind that business. If you do not agree to these Terms, do not use the Service.
2 Who we are
The Service is operated by AtharCo ("Noqta", "we", "us"), registered in Ramallah, Palestine. "You" means the restaurant, owner or operator using the Service, together with the business on whose behalf the Service is used. "Your Data" means the operational data your restaurant produces through the Service — orders, sales, payments, menu and branch activity.
3 The service
Noqta runs your restaurant's daily operations and turns them into clear answers and better decisions. The Service provides operational tooling and intelligence — briefings, reports, comparisons and plain-language answers about your own restaurant's performance.
Noqta's insights are decision support, not professional advice. They do not replace your own judgement, or the advice of a qualified accountant, tax adviser, lawyer or financial adviser. You remain solely responsible for the decisions you take in your business.
4 Your account
- You must provide accurate, complete registration information and keep it current.
- You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly of any unauthorised use of your account.
- You must be authorised to act for the business you register and old enough to form a binding contract in your jurisdiction. The Service is a business tool and is not directed at children under 13.
- Authentication is handled through our sign-in provider; see Third-party services.
5 Plans, billing & add-ons
Noqta is offered on two monthly subscriptions — Solo and Chain. Solo covers one restaurant, with the option to add a second restaurant at an additional monthly rate. Chain covers a franchise of same-brand branches, with an additional monthly rate for each extra branch. Both subscriptions include all core features; Chain adds the multi-branch intelligence layer (branch comparison and group briefs). Annual billing is available at a discount. Current prices are shown on the offer page.
- Fees are billed in advance for the billing period you choose (monthly or annual) and, unless stated otherwise, are exclusive of applicable taxes, which are your responsibility.
- 30-Day Restaurant Clarity Guarantee: if, within your first 30 days, you do not feel you understand your restaurant more clearly, you may cancel without penalty as described at sign-up. Billing begins only once your first weekly report has been delivered.
- Subscriptions renew automatically for successive periods of the same length unless cancelled before the renewal date. Cancellation stops future charges; it does not entitle you to a refund for a period already paid, except under the guarantee above or where required by law.
- We may change our prices on reasonable prior notice; changes take effect from your next renewal.
6 Acceptable use
You agree not to:
- Use the Service unlawfully, or to store or process data you have no right to hold.
- Reverse-engineer, resell or copy the Service, or use it to build a competing product.
- Interfere with the security or integrity of the Service, or access it by automated means beyond what we permit.
- Upload malware, or misuse another restaurant's data.
7 Your data & privacy
Your Data is yours. You grant us the licence needed to operate the Service — to host and process your restaurant's operational data so we can build its memory, generate briefings and answer your questions. Where diners submit personal data through the Noqta-powered menu, ordering or loyalty surfaces of your business (the "venue"), the venue is the data controller and we process that data on its instructions; for your operator account, we are the controller. What we collect and how we use it is described in our Privacy Policy, which also explains how to export Your Data or request its deletion.
8 Intellectual property
The Service — its software, design and brand, including the "Noqta" name, wordmark and logo — is owned by us and protected by intellectual-property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active. The insights and reports we generate about your restaurant are yours to use in your business.
9 Third-party services
The Service is built on carefully chosen third-party providers — including Clerk (operator authentication), Supabase (our database, hosted in the EU) and Vercel (hosting), together with payment processing, messaging (WhatsApp) and delivery-platform data sources. Each provider's own terms and privacy practices apply to its part of the flow. We are not responsible for third-party services outside our control, but we select and contract with them carefully.
10 Term & termination
These Terms apply for as long as you use the Service. You may stop at any time by cancelling your subscription. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm — with prior notice where reasonable. On termination, your right to use the Service ends. After cancellation or termination, Your Data remains available for export for 30 days, is then retained for a further 30 days for recovery, and is permanently deleted 60 days after cancellation — except for records we must retain to meet a legal, tax or accounting obligation, and security and audit logs retained in accordance with our Data Processing Addendum.
11 Disclaimers
The Service is provided "as is" and "as available". While we work to keep answers accurate and the Service running, we do not warrant that the Service will be uninterrupted or error-free, or that every insight will be complete or correct. Insights depend on the data your restaurant provides and improve as your restaurant's memory builds. To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms.
12 Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total aggregate liability for all claims arising out of or relating to the Service is limited to the fees you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law.
13 Governing law & disputes
These Terms are governed by the laws of Palestine. The courts of Ramallah, Palestine have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory applicable law provides otherwise. We will always try to resolve any issue directly with you first.
14 Changes
We may update these Terms as the Service evolves. If a change is material, we will give you reasonable advance notice — by email or in the product — before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
